j) You agree to indemnify and hold harmless eTaxcart and its affiliates from any claims, losses, damages, or expenses (including legal fees) arising from your violation of this agreement or unauthorized actions taken using your account.

2. Standard Pricing
eTaxcart has a standard pricing structure for various services. Prices may vary based on factors such as location and the type of service. We reserve the right to adjust the prices listed on our website at any time. However, any changes to the price will not affect contracts already in force. We are not liable for any additional costs incurred due to government fees or service re-submissions.
3. Timeline for Completion
Estimated timelines for service completion are subject to various factors and are not guaranteed. Delays due to third-party vendors, government processes, or unforeseen circumstances are beyond our control. We do not accept liability for such delays.
4. Security

5. Limitation of Warranties
By using eTaxcart’s services, you acknowledge and agree that, except as prohibited by applicable law, the limitations set forth in these terms do not exclude or limit eTaxcart’s liability for losses that cannot be lawfully excluded or limited under relevant jurisdictional laws. Some jurisdictions may not permit the exclusion of certain warranties or conditions, nor the limitation or exclusion of liability for damages arising from negligence, breach of contract, breach of implied terms, or incidental and consequential damages. As such, only the limitations that are enforceable within your jurisdiction will apply, and eTaxcart’s liability will be confined to the fullest extent permitted by law.
You explicitly agree that your use of eTaxcart’s services is at your own risk, and that the services are offered on an “as is” and “as available” basis.
eTaxcart, its subsidiaries, affiliates, and licensors do not offer any assurances or warranties regarding the following:
- That the services will meet your specific needs or expectations,
- The uninterrupted, timely, secure, or error-free operation of the services,
- The accuracy or reliability of any information obtained through the services, or
- The rectification of any defects in the software or functionality provided as part of the services.
Additionally, any materials downloaded or otherwise accessed through the services are done so at your own discretion and risk. You are solely responsible for any damage to your device, system, or data loss resulting from such downloads.
No advice or information, oral or written, obtained from eTaxcart will create any warranties not explicitly outlined in this Terms.
eTaxcart further disclaims all warranties and conditions, whether expressed or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of Liability
Subject to the general provisions outlined above, you explicitly acknowledge and agree that eTaxcart, its subsidiaries, affiliates, and licensors will not be held liable to you for any of the following:
- Any direct, indirect, incidental, special, consequential, or exemplary damages that you may incur, regardless of the cause or theory of liability. This includes, but is not limited to, loss of profits (whether direct or indirect), loss of goodwill or business reputation, loss of data, the cost of procuring substitute goods or services, or other intangible losses.
- Any loss or damage that may occur, including but not limited to:
- Any reliance placed by you on the accuracy, completeness, or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertisements appear on the services;
- Any modifications eTaxcart may make to the services, or any temporary or permanent cessation of the services (or any features within the services);
- The deletion, corruption, or failure to store any content, or other communication data transmitted or maintained through your use of the services;
- Your failure to provide accurate account information to eTaxcart;
- Your failure to maintain the security and confidentiality of your password or account details.
In conjunction with the above Limitation of Warranties, you agree that our liability is limited to the amount you paid for the use of our services. We are not responsible for any direct, indirect, incidental, or consequential damages caused by the use or inability to use our Resources.
7. Copyrights and Trademarks
All content and materials available on www.eTaxcart.com, including but not limited to text, graphics, website name, code, images, and logos, are the intellectual property of eTaxcart LLP. eTaxcart hold the rights to use All content and materials available on www.eTaxcart.com which is not owned by eTaxcart LLP. These are protected by applicable copyright and trademark laws. Unauthorized use, including but not limited to the reproduction, distribution, display, or transmission of any content from this site, is strictly prohibited unless expressly authorized by eTaxcart LLP.
8. Termination of Access
You acknowledge and agree that eTaxcart may, at its sole discretion, suspend or terminate your access to all or part of our website and resources, with or without notice, and for any reason, including, but not limited to, a breach of this Terms. Any suspected illegal, fraudulent, or abusive activity may result in the termination of your access and may be reported to the appropriate law enforcement authorities. Upon suspension or termination, your right to use our resources will immediately cease, and we reserve the right to remove or delete any information associated with your account, including account details or login information.
9. Governing Law
This website is operated by eTaxcart LLP, from our offices located in Uttar Pradesh, India. While the website can be accessed from most countries around the world, you acknowledge that each country may have laws that differ from those of Uttar Pradesh, India. By accessing our website, you agree that the laws of Uttar Pradesh, India, without regard to conflicts of law principles or the United Nations Convention on Contracts for the International Sale of Goods, will govern all matters related to your use of this website and the purchase of any products or services through it.
Additionally, any legal action to enforce this terms shall be initiated in the state courts located in Uttar Pradesh, India. You hereby consent to the personal jurisdiction of such courts and waive any objections related to jurisdiction, venue, or inconvenient forum.

11. Indemnification
You agree to indemnify and hold harmless eTaxcart, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the website or violation of this agreement.
12. Guarantee
Unless otherwise expressed, www.eTaxcart.com expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement.
13. Terms and conditions related to services:
- Bank Account and Payment Services
With your consent, we will share your name, phone number, and email with a bank of your choice for setting up a bank account or payment services. The bank reserves the right to approve or deny your application based on its internal policies. - Partnership Firm Registration
Should you wish to register a Partnership Firm with the relevant state’s Registrar of Firms, please note that additional charges may apply. These charges will be clearly communicated to you in advance. - RUN Name Approval
You can submit up to 4 name options in a single RUN (Reserve Unique Name) approval request. - Authorized vs. Paid-up Capital
Authorized capital refers to the maximum number of shares a company is allowed to issue, which can be increased later if required. Paid-up capital is the amount actually invested by shareholders, and it can begin as low as Rs. 2. - Statutory Auditor Fees
Statutory auditor fees are to be paid directly to the Independent Auditor appointed by the Board of Directors, based on actual charges. It is mandatory for every company to appoint an Independent Statutory Auditor of their choice within 30 days of incorporation. - Digital Signature Certificates (DSC)
eTaxcart provides 2 DSC Hyper Tokens, along with support for KYC and DSC shipping as extra part of the incorporation process. As per the CCA Guidelines effective from 15th July, 2024, you will be required to make direct payment to the Certifying Authority for the certificate and KYC processing. - Additional Authorized Capital
If you need to increase your authorized capital during incorporation, you can purchase additional authorized capital. The cost for this will be provided upon request. - Trademark registration
Prices unless mentioned otherwise are for one class. Any additional class will be chargeable extra.
- Pricing and Additional Classes
Unless otherwise stated, the listed prices are applicable for one class in trademark registration. Any additional class will incur extra charges. - Trademark Name Recommendations
eTaxcart or its employees do not provide recommendations for trademark names, nor can we confirm the availability or guarantee the registration of any trademark. - Client’s Responsibility for Accuracy
It is the client’s responsibility to ensure the accuracy of the information provided in the trademark application forms. eTaxcart disclaims any liability for incomplete or false information provided by the client. - Objections, Refusals, and Issues
eTaxcart shall not be held responsible for any objections, refusals, oppositions, or other issues that may arise during the trademark registration process. The client acknowledges that these matters are beyond eTaxcart’s control. - Trademark Acceptance and Registration
eTaxcart cannot guarantee that the trademark will be accepted or registered by the Trademark Office or through the objection reply process. Trademark acceptance and registration are subject to the discretion and approval of the Trademark Office. While we will make reasonable efforts to assist the client, final approval is not guaranteed. - Tracking Trademark/ MCA/ Income tax filing Application StatusThe client is responsible for monitoring the status of their trademark application through the IP INDIA portal/ MCA portal/ efilling portal etc. eTaxcart may provide assistance or guidance if requested.
- Additional documents
Whatever additional documents are required for providing the subscribed services will be asked by the team over and above documents mentioned on the website. The document list for the services mentioned on eTaxcart is not inclusive. - CA Verification Fees
The verification of the Income Tax Return by a Chartered Accountant (CA) will incur separate charges. - Client’s Responsibility for Information Accuracy
The Client is responsible for ensuring the accuracy, reliability, and completeness of all information provided in the returns/filings, as well as the accounting records and details submitted, before giving approval and signing.
Additional Terms for Winding Up – Company / LLP
- Eligibility for Strike-Off
A company that has not commenced business within one year of incorporation, or has not conducted any business or operations for two consecutive financial years without applying for dormant status under Section 455, and has no recorded transactions, revenue, assets, or liabilities during this period, qualifies for strike-off. - Compliance for STK-2 Filing
A company that receives STK-1 or STK-5 notices must complete all compliance requirements before filing STK-2. The company must have commenced its business to apply for STK-2. All directors must unanimously agree to remove the company’s name from the Registrar of Companies and sign the relevant documents. - Director’s eKYC and DSC
The directors’ DIN eKYC and DSC must remain active until the company’s e-filing status is updated to “UNDER PROCESS OF STRIKE OFF.” - Current Account Closure
A company should not close its current account if it expects to receive refunds, chargebacks, or subsidies. The winding-up process can begin once all receivables have been deposited into the account. After receiving the outstanding amounts, the account can be closed, and the winding-up process can be initiated. - Offline Closure Procedures
The authorized director must handle the closure of the current account and the cancellation of Professional Tax, Import Export Code, Trademark, and ESI & PF registrations with the respective authorities through offline procedures. - Ineligibility for Strike-Off
A company cannot be struck off if it has changed its name or moved its registered office to another state, disposed of property or rights (subject to conditions), or conducted activities beyond what is necessary for making the application. Additionally, a company cannot be struck off if it has filed for a compromise or arrangement with the Tribunal and a consensus has not been reached, or if it has been wound up under Chapter XX of the Companies Act, 2013, or under the Insolvency and Bankruptcy Code (IBC), 2016. - Exclusions for STK-2 Filing
The STK-2 form for winding up does not apply to Section-8 companies, Nidhi companies, subsidiaries, or public limited companies. - Liability for STK-2 Filing Rejection
eTaxcart is not responsible for the rejection of STK-2 filings if the client requests filing without meeting the required eligibility criteria. - Additional Charges for Bank Transactions
Additional charges will apply if the bank account statement transactions exceed 100 entries. - Client’s Responsibility for Government Fees and Taxes
The client is responsible for government fees of Rs. 10,000, stamp paper costs, notary services, and any applicable taxes or penalties. - LLP Government Fee
In the case of LLPs, the client is responsible for an additional government fee of Rs. 1,000. - Pricing for LLPs
The listed pricing for LLPs applies only to those without assets or liabilities. - Forms for Office Address and Partner Changes
Separate forms must be filed with the Ministry of Corporate Affairs (MCA) to update the registered office address, email ID, or to add or remove partners. Additional charges will apply. - LLP Filing Requirements
LLPs must file FORM-3 within 30 days of incorporation. Failure to comply with this deadline will result in a penalty, which must be cleared before submitting FORM-24 for closing the LLP with the Ministry of Corporate Affairs (MCA).
